Corporate Secretary
Industry pioneer seeking experienced Corporate Secretary OUR ORGANISATION At Focal, we support people of all ages and needs, in their homes and the community. Through our unique person-centred support options, we're building a brighter tomorrow for people with disability and seniors throughout South-East Queensland. For those we support, it’s all about building their capacity to exercise choice and control. We work alongside each participant as advocates - to help them maximise and implement all the supports in their plan including informal, mainstream, community, formal and funded supports. Position Purpose The corporate secretary acts as the custodian of corporate records and facilitates corporate governance processes. As corporate secretary you will play a critical role as liaison between the board, management and Focal members. This position provides advice and support to Focal’s Governing Board and the CEO, as well as governance advice to the management team.Attendance either virtually or in person for monthly board meetings is required. A 10 to 15 hour commitment is required per month. Key AccountabilitiesProvide advice and guidance on corporate compliance matters and handling of all corporate secretarial support to the BoardRecording and distribution of Board meeting minutes; drafting resolutions and ensuring all requirements of relevant regulatory bodies are fully metResponsible for preparation of the annual report, corporate governance reports and holding of the AGMLiaise with and advise management team and the board on annual compliance and corporate secretariat mattersMaintain and update statutory records as well as conflict of interest registerEnsure proper maintenance of corporate database Experience and QualificationsPrior experience as Corporate Secretary for a not-for-profit or non-government organization working with voluntary directors highly regarded.Tertiary qualifications preferably in Law, Accounting or Business ManagementAICD or other post-graduate qualifications highly desirableUnderstanding of the disability sector including historical and current issues Ability to attend Sub-committee and Board Meetings / teleconferencesStrong written and verbal communication skillsMaintains high standard of personal conduct in performing all dutiesCurrent NDIS Worker Screening Check or willingness to obtain oneCurrent Blue Card or willingness to obtain oneCompletion of NDIS New Worker Orientation & Induction Training Modules If you enjoy giving back to your community and are looking for your next board appointment, we would love to hear from you.
